The complaint alleges that Compellent and certain officers and directors made false and misleading statements about the Company’s true financial condition, business and prospects. Specifically, the complaint alleges that Compellent made positive statements about its prospects and growth while knowingly dealing with increased competition, increased expenditures to obtain new business and problems with its sales force. On April 7, 2010, Compellent announced its preliminary financial results for the first quarter of 2010. After the announcement, share prices dropped 26 percent.
